MTD InfraPerdana was incorporated on 9 June 1994 in Malaysia as a public limited company under the name Dewina Berhad. It subsequently changed it’s name to MTD InfraPerdana Bhd with effect from 3 April 2003. It was listed on the Second Board of the KLSE on 23 May 1995. The current authorized share capital of MTD InfraPerdana is RM2,000,000,000 comprising 2,000,000,000 ordinary shares of RM1.00 each and the issued and paid-up capital as at 8 October 2003 is RM1,147,909,090 comprising 1,147,909,090 ordinary shares of RM1.00 each.

MTD InfraPerdana is an investment holding company, which is also involved in the provision of management services. Prior to the Acquisition and internal reorganization exercise, MTD InfraPerdana’s active subsidiaries were involved in food manufacturing, food catering services, sale and marketing of all food products and commercial trading. The completion of the internal reorganization exercise resulted in all the said subsidiaries being disposed off.

After the completion of the Acquisition on 23 October 2002, the principal activities of its subsidiary, MTD Prime are inter-alia to undertake the design, construction, improvement and upgrading works on the existing Kuala Lumpur – Karak Highway (“KLK Concession”) and to maintain the same on a privatization basis for 27 years from July 1994 to July 2021 (“Initial Concession Period”).

The Government has also granted MTD Prime the exclusive right and authority to take over from the Government or Lembaga Lebuhraya Malaysia (“LLM”) the management, operation and maintenance of the KLK Concession and to supply and install tolling and other equipment at the highway’s toll plaza and to manage, operate and maintain the plazas. MTD Prime also has the rights to demand, collect and retain toll for its own benefit from toll-paying vehicles using the KLK Concession during the Initial Concession Period. In addition, MTD Prime is to undertake to design, construct, manage, operate and maintain the ancillary facilities and the administrative office and to retain any ancillary income from the ancillary facilities for its own benefit.

The Government and MTD Prime had on 1 October 1998 executed a supplemental concession agreement to allow MTD Prime to design, construct, upgrade, maintain, operate and manage part of KL-Genting Road (“Genting Slip Road”). In view of the additional work involved and in accordance to the supplemental concession agreement, the Initial Concession Period was extended for a further five (5) years period which expires on 27 July 2026.
