	Subject	:	APPLICATION FOR AN EXTENSION OF TIME TO COMPLY WITH PARAGRAPH 8.15 (1) OF THE LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD

MTD InfraPerdana Bhd (“MTD InfraPerdana” or the “Company”) wishes to announce that the public shareholding spread of the Company based on the Record of Depositors as at 31 March 2008 was 19.68%, representing a shortfall of 5.32% in meeting the public shareholding spread requirement of 25% as stipulated in Paragraph 8.15(1) of the Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Public Shareholding Spread Requirement”). The number of public shareholders holding not less than 100 ordinary shares of RM0.25 each in MTD InfraPerdana was 6,807.

We refer to the Company’s announcement dated 26 February 2008, in which the holding company of MTD InfraPerdana namely, MTD Capital Bhd (“MTD”) had requested the Company to be taken private via a selective capital repayment proposal (“Proposal”) and MTD does not intend to maintain the listing status of MTD InfraPerdana after successful implementation of the Proposal.

In this regard, MTD InfraPerdana has on 10 April 2008 applied to Bursa Securities for an extension of time to comply with the Public Shareholding Spread Requirement in view that the Company is unable to maintain the Public Shareholding Spread Requirement or consider any action to rectify its non-compliance with the Public Shareholding Spread Requirement.

MTD InfraPerdana will endeavour to meet the 25% Public Shareholding Spread Requirement in the event that the Proposal is not approved by the relevant authorities and/or MTD InfraPerdana’s shareholders at the forthcoming extraordinary general meeting.
