	Subject	:	MTD INFRAPERDANA BHD ("MTD INFRAPERDANA" OR "THE COMPANY") - APPLICATION FOR AN EXTENSION OF TIME TO COMPLY WITH PARAGRAPH 8.15 (1) OF THE LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD

We refer to the Company’s announcement dated 10 April 2008 and is pleased to announce that the Company has on 22 April 2007 received a letter dated 18 April 2008 from Bursa Malaysia Securities Berhad ("Bursa Securities") which granted the Company an extension of time of seven (7) months from 31 March 2008 until 30 October 2008 to comply with the public shareholding spread requirement of 25% as stipulated in paragraph 8.15(1) of the Listing Requirements of Bursa Securities (“Public Shareholding Spread Requirement”).

Based on the Record of Depositors of the Company as at 31 March 2008, the public shareholding spread was 19.68% comprising 6,807 public shareholders holding not less than 100 ordinary shares of RM0.25 each in MTD InfraPerdana, a shortfall of 5.32% in meeting the Public Shareholding Spread Requirement.

The Company had on 10 April 2008 announced that the Company had accepted its holding company, MTD Capital Bhd’s (“MTD”) request for MTD InfraPerdana to be taken private via a proposed selective capital repayment pursuant to Section 64 of the Companies Act, 1965 (“Proposed SCR”) (announced on 26 February 2008).

In view that MTD does not intend to maintain the listing status of MTD InfraPerdana on the main board of Bursa Securities upon successful completion of the Proposed SCR, the Company is not considering any action to rectify its non-compliance with the Public Shareholding Spread Requirement. However, MTD InfraPerdana will endeavour to meet the 25% Public Shareholding Spread Requirement in the event that the Proposed SCR is not approved by the relevant authorities and/or shareholders of MTD InfraPerdana at the forthcoming extraordinary general meeting to be convened.
